Abstract:

Matthew Van Ryn is an award-winning attorney who has prepared private placement documents for start-ups and growing companies for the last 15 years. Mr. Van Ryn has also litigated cases regarding alleged misrepresentations contained in investor documents in state and federal courts. Learn what the requirements are for a successful private placement, and how to balance the "sales" aspect of selling people on your business vision, versus the legal requirements of investment contracts that are subject to the rules of the Securities Exchange Commission. There will be additional discussion of SAFEs and Crowd Funding, and whether they are the right vehicles to raise funds for your company, or fit your personal investment strategy.
